License Agreement

• Grant of License:

  Licensor hereby grants to Licensee a non-exclusive, non-transferable license to use the designs created for the festival greetings in accordance with the terms and conditions set forth in this Agreement.
• Scope of Use:

  Licensee is authorized to use the designs for personal or commercial purposes, including but not limited to, sending the greetings to friends and family, using the designs for marketing purposes, and printing physical copies of the designs.
• Limitations on Use:

  Licensee may not sublicense, assign, or transfer the designs without the prior written consent of Licensor. Licensee may not modify the designs in any way, including but not limited to, altering the colors, images, or text.
• Intellectual Property:

  The designs are the property of Licensor and are protected under copyright law. Licensee acknowledges that the designs are original works of authorship created by Licensor and that Licensor owns all right, title, and interest in and to the designs.
• Termination:

  This Agreement will terminate automatically if Licensee breaches any of the terms and conditions set forth in this Agreement. Upon termination, Licensee must destroy all copies of the designs and cease all use of the designs.
• Indemnification:

  Licensee agrees to indemnify and hold Licensor harmless from any and all claims, demands, damages, or expenses arising out of the use of the designs by Licensee.
• Dispute Resolution:

  Any dispute arising out of this Agreement will be resolved through arbitration in accordance with the rules of the Indian Council of Arbitration.
